The future of Western Province rugby has been “saved”, according to president Thelo Wakefield, after a new entity owned by the union and backed by Johann Rupert’s Remgro bought the liquidated company on Thursday.

Wakefield told Independent Media that the WP Rugby Union will own 51% of the as yet unnamed business that will form the commercial arm, with Remgro Sport Investments taking up the remaining 49% shareholding in a deal concluded on Thursday by liquidator Chris van Zyl.

The purchase price is sure to be a multi-million rand figure, and although Wakefield did not want to reveal the exact amount, Van Zyl said in a statement that it was “more than twice the net asset valuation conducted by a large audit firm and verified by another independent audit firm. In addition, it is more than 10 times the estimated value of the assets on a breakdown basis under forced sale circumstances”.

Wakefield said that all salaries of players and staff will be honoured for December and in future by the new company. “The button has been pressed, and it’s now for the bank to do the EFT and the transactions,” he said.

In terms of any creditors’ claims - with multimedia company Aerios wanting R72 million for their services and commercial rights - Wakefield said that those issues have been resolved.

“We don’t owe any creditor. I don’t want to single out Aerios. But at this stage, as we speak, we don’t owe any creditor whatsoever. All creditors will be looked after, all staff members will be looked after. There is no need to worry. Any claims from creditors have been and will be settled,” he said.

“I am not going to divulge the numbers (of the purchase price) because we must respect the fact that I have a constituency to report to, and I respect my General Council. I don’t want them to read it in the newspaper.

“What I have done this afternoon is to inform them that Western Province rugby is safe and sound, and that there will be further information as we go along. I don’t them to read it in the newspaper. Ethically, it’s not correct.

“That’s proper value (with regards to assets). The liquidator applied his mind and the selling price was verified by various auditing firms, and they did their work and the documentary proof was there.”

Aerios told Independent Media on Thursday that they will “release a statement after consultation with our legal advisors”.

When asked if Remgro had been the main contributors to the purchase of the WP company, Wakefieldsaid: “I’m not going to say that. The WP Rugby Union is solvent. It is the WP Rugby (Pty) Ltd that was insolvent. As the union was the majority shareholder, and together with our equity partner, we stepped in and saved the situation.

“A new board will be constituted for the new company, and it will be a combination of the WP Rugby Union and our equity partner Remgro. We are looking forward to working with Remgro to build the company on a sound basis and sound foundation. There are big plans ahead – all the properties are covered.

“It’s a brand-new company, and the name of the company must still be registered – it’s K-something, I can’t remember. We are in full control of the company, and we have our commercial rights back and advertising rights back. The company will have a new board, with a new chairman, and it will consist of directors and the chairman, and it will function normally like any other company – stricter control measures, etc.”

The Stormers are set to begin their Super Rugby campaign on February 25 against the Bulls at Newlands, and Wakefield insisted that the players’ contracts were not in danger.

“In terms of Section 197 of the Labour Relations Act, no players or contract of any player or staff member will be in jeopardy. We are bound by the Section 197. Like I said, the contracts will be honoured and there is no need to panic. We are back on track and on our way,” he said.

“The way forward for WP rugby involves hard work, and togetherness. A proper governance of all our stakeholders, which include our fan base who have been loyal to us. That is what we are looking forward to. We want to take this new company forward in the right spirit, and the good news is that rugby in the Western Province has been saved.”

So much for the demise of WP rugby, this is chump change for any half decent company. The splits are interesting. I'm sure Remgro picked 49% for some good reasons. The fate of Newlands doesn't seem to be resolved.

LOL.

Crikey...any body with common sense owning Remgro shares would sell immediately...there goes Beeno's pension fund ...just as well that under section 28 of the pension funds act that only a maximum of 75% of assets can go into equities in pension fund portfolios...always been a blue chip share but I don't like a product that poisons humanity and pollutes the earth...there is a contradiction when tobacco and alcohol supports sport...in the old days Gary Player opposed the Lexington after action satisfaction adverts...it's crazy.

Remgro is financially so rich - it is merely the weekend pocket money of Rupert that paid for the company.
However, something does not sound right for me here as to the 51% shareholding.   Remgro bought out the assets and provide the money - the only thing WP Rugby contributed was their so-called fixed property assets that would not have covered their debts.
So he who provides the money rule the roost and that sound to me very much like the shareholding percentage is not right at 49%.    If it is so - it is a sob to the politico's - but we know where the power will really lie.
By the way Remgro owns five times more then their interest in cigarette manufacturing in other companies - just start asking around about to their shareholding  in Sanlam and the banking sector as well as fixed assets.   Most of the Rupert assets is in other companies like Richemont as well - with an estimated value of R81 billion Rupert can really afford to put R200 000 000 into the company.   It would not be one-tenth of the family income per year after taxation.
I suspected all along this would happen - so It is no news to me.   What is interesting is who the new Chairman would be - probably a Rupert nominee.

Maaikie I'm well aware of that, nevertheless it appears, a fly in the ointment...but the Ruperts are a clever family...Johann's late father Anton who died some 10 years ago was a philantrophist and he did a lot for conservation...but they are tied up with the Rothchilds...very powerful.

Yes Remgro is favourite holding share in pension/ra/prov. fund portfolios. WP rugby well to me a bad buy...how did they get into this mess in the first place...the whole structure needs complete revamping for a start...a lot of hiring and firing...it's actually very sad...I have a lot of sentiment for Newlands...as a youngster I used to call on Alex Kellermann...cannot remember if it was SARU or WP rugby union he was secretary to but the offices were at the rugby ground and the company I worked for at the time used to supply office equipment to them .

It would be wise to have a look at the structures of Remgro before making sweeping statements that it was Johann Rupert and/or Remro who has the 49% shares in the JV.

Although it is probably 100% sure that it was Johann Rupert who was the initiator behind the move and that he was probably the only logical candidate to pull it off, there are a lot of signatures, other than that of Rupert, that would have been required to seal the deal.

I also agree with Draad that there is a lot of story behind the story, if you ask me. At least you can say this... this is a big advantage to WP Rugby. The sports and media arm of Remgro are no novices when it comes to sport and sports administration and old Thelo & co will have to watch there steps. These guys knows what they do. There is a reason why the Bulls have been financially and administratively sound for years.

Correct, you should, in fact must, look at the structures before criticisi ng...the price paid is far too much but the motives are obviously altruistic...a belief entrenched in the Rupert family and I too surmise it came from Johann...the JV is also seen as a challenge also apart from the benevolent and altruistic intent.

What was the price paid - apparently it was double from what was needed and ten times the value of the assets involved.   That would mean that the price could be as high as R400 million.
Although the agreement is obviously with Remgro - a subsidiary company is being established to deal with the operation of the Joint Venture.
It is only a dimwit like dofdosie who would come up with the suggestion that Rupert is not really coming up with the money - since from a strictly commercial perspective it is not a really good deal for the buyer.
The fact is that Rupert was the one who approved the deal and it is based on that decision that the deal was sealed.    Anyone thinking that it was otherwise must have his head read.
And to state that the Bulls are financially sound is also tripe.   They lost oodles of players because they did not have the funds to up salaries of players and dofdosie will soon find out who is in the hunt to buy out the Bulls.   Sure they have not filed for bankruptcy  - but they are under strain financially as well.   To brag about their sound financial management is funny - they were not looted yet as was the case wit the mismanaged Stormers.

We underlings don't have an iota of a clue what happens in trading and shifts, by the time we think its a good buy the party's over. To understand you have to engage brain and read and think a lot...I hope this transaction is benevolent and not to profiteer which is a wild card any way...I think it's a bad buy but honourable for altruistic reasons and values.

I was thinking of comprehensively replying to ou CleverZunk but, hey mate, you can go fcuk yourself and settle with a short version. As I said, go check the structures of Remgro. Then revisit the article. And then, just for the heck of it, go check what part of the Blue Bulls belong to Remgro. The Bulls have been financially sound because they made unpopular decisions in the renewal of player contracts. That is why they didn't have to get involved in a dodgy "liquidation" to wangle themselves out of paying their creditors.
